Terms of Service

The terms governing your use of the Pickar mobile app, website, and delivery platform.

1. Introduction

Welcome to Pickar.

Pickar Enterprises Limited ("Pickar", "we", "us", or "our") operates a technology platform that connects users with mobility, delivery, logistics and other on-demand services provided through the Pickar platform.

Our purpose is to make the movement of people, packages and services simpler, more reliable and accessible.

These Terms of Service ("Terms") govern your access to and use of the Pickar mobile application, website, technology platform and related services (collectively, the "Platform").

By creating an account, accessing the Platform, requesting a service, making a booking, or otherwise using Pickar, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not use the Platform.

2. Definitions

For purposes of these Terms:

"Account" means the account created by a User to access Pickar.

"Customer" or "User" means an individual or organisation using the Platform to request or purchase a service.

"Rider" means an individual or service provider authorised to provide mobility or delivery services through Pickar.

"Merchant" means a business or organisation using Pickar to facilitate deliveries, logistics or related services.

"Services" means the mobility, delivery, logistics, business and other services made available through the Platform from time to time.

"Booking" means a request submitted by a User for a Service.

"Fare" means the amount payable for a particular Service.

"Platform" means Pickar's applications, websites, software, APIs, systems and related technology.

3. Eligibility

You may use Pickar only if:

  • you are legally capable of entering into a binding agreement;
  • the information you provide is accurate and complete;
  • you comply with these Terms and applicable law.

Certain Services may have additional age, identity, licensing or eligibility requirements.

Where a Service requires a minimum age, identification document, licence or other qualification, Pickar may request evidence of eligibility.

4. Account Registration

You may be required to create an Account to access certain Services.

You agree to:

  • provide accurate information;
  • maintain accurate Account information;
  • keep your login credentials secure;
  • notify Pickar promptly of unauthorised Account access;
  • not permit another person to use your Account where such use is prohibited.

You are responsible for activities conducted through your Account unless the activity resulted from circumstances outside your reasonable control and was promptly reported to Pickar.

Pickar may require identity verification where reasonably necessary for safety, fraud prevention, legal compliance or service delivery.

5. Pickar's Role

Pickar operates a technology platform designed to facilitate connections between Users and available service providers.

Depending on the particular Service, Pickar may:

  • facilitate bookings;
  • provide technology infrastructure;
  • calculate or display fares;
  • facilitate payments;
  • provide tracking;
  • provide customer support;
  • facilitate communication between Users and service providers;
  • monitor service performance and safety;
  • provide business and logistics management tools.

The precise legal and operational relationship between Pickar and individual Riders or other service providers may vary according to the Service and applicable contractual arrangements.

Nothing in these Terms creates an employment relationship between Pickar and a Rider merely because the Rider uses the Platform.

6. Bookings

A Booking request submitted through the Platform does not necessarily constitute acceptance of the Booking.

A Booking becomes confirmed when the Platform indicates that it has been accepted or otherwise confirmed.

Pickar may decline, cancel or modify a Booking where reasonably necessary, including because of:

  • lack of available Riders;
  • inaccurate booking information;
  • safety concerns;
  • suspected fraud;
  • technical problems;
  • severe weather;
  • road closures;
  • security restrictions;
  • legal requirements;
  • circumstances beyond Pickar's reasonable control.

Where reasonably practicable, Pickar will communicate material cancellations or changes to the User.

7. Delivery Services

When using Pickar to send a package, the User is responsible for:

  • providing an accurate pickup location;
  • providing an accurate destination;
  • providing accurate recipient information;
  • accurately describing the package;
  • properly packaging the item;
  • ensuring the package is lawful to transport;
  • providing any information reasonably required for successful delivery.

The User must not use Pickar to transport prohibited, illegal, dangerous or restricted items.

Pickar may refuse or stop a delivery if it reasonably believes the package violates applicable law, presents a safety risk, or breaches these Terms.

8. Prohibited Items

Unless expressly permitted by Pickar and applicable law, Users must not use the Platform to transport:

  • illegal drugs;
  • weapons or ammunition;
  • explosives;
  • stolen property;
  • hazardous materials;
  • counterfeit goods;
  • live animals where the relevant Service does not permit them;
  • dangerous chemicals;
  • illegal substances;
  • items prohibited by applicable law;
  • any item that could reasonably endanger a Rider, customer, member of the public or property.

Pickar may publish additional prohibited-item rules within the Platform.

Users remain responsible for the legality and safety of packages they submit.

9. Package Information

Pickar may require the User to provide:

  • package description;
  • package size;
  • package weight;
  • declared value;
  • recipient information;
  • pickup instructions;
  • delivery instructions.

Providing false or misleading information may result in additional charges, cancellation, Account suspension or termination.

Where a package materially differs from the information supplied during Booking, Pickar may adjust the Fare or cancel the Booking.

10. Delivery Confirmation

Depending on the Service, delivery may be confirmed through:

  • recipient confirmation;
  • verification code;
  • signature;
  • photograph;
  • digital proof of delivery;
  • GPS/location confirmation;
  • other technology used by Pickar.

Users agree that electronic records generated by the Platform may be used as evidence of the delivery event, subject to applicable law.

11. Fares and Pricing

The applicable Fare may depend on factors including:

  • distance;
  • time;
  • service type;
  • package characteristics;
  • demand;
  • traffic conditions;
  • tolls or applicable charges;
  • waiting time;
  • additional services;
  • applicable taxes.

Where practicable, the estimated or applicable Fare will be displayed before the User confirms a Booking.

The User is responsible for paying the Fare displayed or otherwise communicated in accordance with the applicable Service.

Pickar may update its pricing from time to time.

12. Additional Charges

Additional charges may apply where:

  • a User provides materially inaccurate information;
  • a Rider is required to wait beyond the applicable waiting period;
  • a package requires additional handling;
  • a destination changes after confirmation;
  • a delivery attempt fails because of the User or recipient;
  • additional tolls or legally applicable charges arise.

Any applicable additional charge should be communicated to the User where reasonably practicable.

13. Payments

Pickar may offer several payment methods, including:

  • debit or credit card;
  • bank transfer;
  • wallet balance;
  • other payment methods supported by Pickar.

Payments may be processed through third-party payment providers.

By submitting payment information, you authorise Pickar and/or its payment partners to process the applicable payment.

Pickar does not necessarily store complete payment-card information and may rely on third-party payment processors for payment processing and security.

14. Refunds

Where a User is entitled to a refund, Pickar may process the refund through the original payment method or another appropriate method.

Refund eligibility may depend on:

  • the reason for cancellation;
  • whether the Service had commenced;
  • the circumstances of a failed delivery;
  • applicable consumer-protection requirements;
  • the relevant Service-specific policy.

Nothing in these Terms is intended to exclude any mandatory consumer rights available under applicable Nigerian law.

15. Cancellation

Users may cancel Bookings subject to the cancellation rules applicable to the particular Service.

A cancellation fee may apply where:

  • a Rider has already accepted the Booking;
  • the Rider has travelled to the pickup location;
  • the Service has commenced;
  • significant resources have already been committed.

Pickar will display applicable cancellation rules where reasonably practicable.

16. Delays and Unavoidable Events

Pickar is committed to reliability.

However, transportation and delivery services can be affected by circumstances outside Pickar's reasonable control, including:

  • traffic;
  • flooding;
  • severe weather;
  • road closures;
  • accidents;
  • civil disturbance;
  • security incidents;
  • government restrictions;
  • infrastructure failures;
  • telecommunications failures;
  • third-party service interruptions.

Pickar will use reasonable efforts to minimise disruption and communicate material delays.

17. Customer Responsibilities

Users must:

  • treat Riders and Pickar personnel respectfully;
  • provide accurate information;
  • comply with applicable laws;
  • not abuse the Platform;
  • not intentionally damage property;
  • not harass or threaten Riders or employees;
  • not attempt to manipulate fares or incentives;
  • not create fraudulent Bookings;
  • not misuse promotions;
  • not interfere with Platform technology.

18. Rider and Customer Safety

Safety is a fundamental Pickar priority.

Users must follow reasonable safety instructions communicated through the Platform.

Pickar may suspend or restrict an Account where there are credible safety concerns.

Users should promptly report:

  • accidents;
  • threats;
  • harassment;
  • suspected criminal activity;
  • dangerous conduct;
  • serious service incidents.

19. Customer Service and Complaints

Pickar is committed to responsive customer service.

Users may submit complaints through the customer-support channels provided in the Platform.

Complaints may relate to:

  • delivery delays;
  • missing packages;
  • damaged packages;
  • incorrect charges;
  • Rider conduct;
  • account issues;
  • payment issues;
  • safety concerns.

Pickar will investigate complaints in accordance with its internal complaint-handling procedures.

Nothing in these Terms prevents a consumer from exercising rights available under applicable Nigerian law or approaching an appropriate regulatory authority.

20. Business Accounts

Pickar may offer Business Accounts and subscription plans.

Business users may receive features such as:

  • multiple users;
  • delivery management;
  • wallet services;
  • reporting;
  • analytics;
  • scheduled deliveries;
  • priority support;
  • business pricing;
  • invoicing;
  • API access;
  • account management.

Business subscription terms, pricing, usage limits and benefits will be displayed before purchase.

Pickar may update subscription plans provided that applicable contractual and consumer rights are respected.

21. Subscriptions

Where Pickar offers paid subscriptions:

  • subscription fees will be disclosed before purchase;
  • billing frequency will be disclosed;
  • renewal terms will be disclosed;
  • cancellation procedures will be provided;
  • applicable taxes may be charged;
  • subscription benefits may be subject to fair-use or usage restrictions.

Unless otherwise stated, subscription fees are separate from individual Service charges.

22. Promotions

Pickar may offer:

  • discounts;
  • referral rewards;
  • promotional codes;
  • loyalty programmes;
  • credits;
  • other promotional incentives.

Promotions may have additional terms.

Pickar may withdraw or suspend a promotion where it reasonably believes that the promotion is being abused, manipulated or used fraudulently.

23. User Content

Users may submit information, reviews, photographs, feedback or other content through the Platform.

You grant Pickar a non-exclusive, worldwide, royalty-free licence to use such content for legitimate business purposes, including operating, improving and promoting the Platform, subject to applicable privacy and intellectual-property laws.

You must not submit content that:

  • infringes another person's rights;
  • is unlawful;
  • is fraudulent;
  • is abusive;
  • contains malicious software;
  • violates applicable law.

24. Intellectual Property

The Platform and its contents, including:

  • software;
  • trademarks;
  • logos;
  • designs;
  • interfaces;
  • databases;
  • graphics;
  • text;
  • systems;
  • algorithms;

are owned by or licensed to Pickar and are protected by applicable intellectual-property laws.

Except as expressly permitted, Users may not:

  • copy;
  • reproduce;
  • modify;
  • reverse engineer;
  • distribute;
  • sell;
  • lease;
  • exploit;
  • interfere with;

the Platform or its underlying technology.

25. Third-Party Services

The Platform may integrate with third-party services, including:

  • payment processors;
  • mapping providers;
  • telecommunications providers;
  • cloud providers;
  • identity-verification providers;
  • analytics providers.

Third-party services may be governed by their own terms and privacy policies.

Pickar will use reasonable care when selecting service providers and will manage third-party processing in accordance with applicable data-protection requirements.

26. Account Suspension and Termination

Pickar may suspend or terminate an Account where reasonably necessary, including where a User:

  • materially breaches these Terms;
  • engages in fraud;
  • threatens safety;
  • uses the Platform unlawfully;
  • provides materially false information;
  • repeatedly abuses Riders or customers;
  • manipulates the Platform;
  • engages in conduct that creates significant risk to Pickar or others.

Where appropriate, Pickar will provide notice and an opportunity to resolve the issue.

Nothing prevents immediate action where necessary to protect safety, prevent fraud, comply with law or protect the Platform.

27. Privacy

Pickar processes personal information in accordance with its Privacy Policy.

The Privacy Policy explains:

  • information collected;
  • purposes of processing;
  • lawful bases;
  • data sharing;
  • retention;
  • security;
  • data-subject rights;
  • complaint procedures.

By using Pickar, you acknowledge that your personal information will be processed in accordance with the Privacy Policy.

28. Location Services

Certain Pickar features require access to location information.

Location information may be used to:

  • identify pickup locations;
  • identify destinations;
  • facilitate navigation;
  • match Users with Riders;
  • track active deliveries or rides;
  • improve safety;
  • prevent fraud;
  • improve service performance.

Users may control certain location permissions through their device settings, although disabling location access may prevent some features from functioning.

29. Disclaimers

Pickar will use reasonable efforts to provide reliable services.

However, to the maximum extent permitted by applicable law, Pickar does not guarantee that:

  • the Platform will always be available;
  • a Rider will always be immediately available;
  • estimated arrival times will always be exact;
  • every destination will always be serviceable;
  • the Platform will be completely free from technical interruptions.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

30. Limitation of Liability

To the maximum extent permitted by applicable law, Pickar shall not be liable for losses arising solely from:

  • events outside Pickar's reasonable control;
  • inaccurate information supplied by the User;
  • unlawful or prohibited items supplied by the User;
  • actions of third parties outside Pickar's reasonable control;
  • misuse of the Platform by the User.

Nothing in these Terms limits liability for matters that cannot legally be limited, including liability arising from applicable consumer-protection or other mandatory laws.

31. Indemnity

To the extent permitted by law, a User may be responsible for losses, claims or expenses suffered by Pickar as a result of the User's:

  • material breach of these Terms;
  • unlawful use of the Platform;
  • fraud;
  • intentional misconduct;
  • submission of prohibited goods;
  • infringement of another person's rights.

This clause does not remove any mandatory legal rights available to consumers.

32. Changes to These Terms

Pickar may update these Terms from time to time.

Where changes materially affect Users, Pickar will provide reasonable notice through the Platform or another appropriate communication channel.

The updated Terms will state the effective date.

Continued use of the Platform after the effective date may constitute acceptance of the updated Terms where permitted by law.

33. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

Nothing in these Terms prevents a consumer from exercising any mandatory statutory right or remedy available under applicable law.

34. Dispute Resolution

Pickar encourages Users to contact customer support first so that complaints can be investigated and resolved promptly.

Where a dispute cannot be resolved through customer support, the parties may pursue mediation or other appropriate dispute-resolution mechanisms.

Nothing in this clause prevents a User from exercising a statutory right to approach a competent court or regulatory authority.

35. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

36. Entire Agreement

These Terms, together with the Privacy Policy and any Service-specific terms presented to the User, constitute the agreement governing use of the Platform, subject to applicable law.
